Nexeant Terms of Service
1. Account Registration and Access
Eligibility: You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years old.
Account Information: You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
Account Security: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
Multi-Tenancy: Each workspace within the Service is designed to provide isolated and segregated data storage and processing for your specific team or company.
2. Use of the Service
License: Nexeant grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms.
Acceptable Use: You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else’s use of the Service. Prohibited
conduct includes:
- Uploading or generating content that is illegal, harmful, threatening, defamatory, obscene, or infringing on intellectual property rights.
Attempting to gain unauthorized access to the Service or related systems.
Interfering with or disrupting the performance of the Service.
Using the Service to generate spam or unsolicited communications.
Consent to Communication: By accepting these Terms, you consent to receive service-related messages, operational notices, and marketing communications from Nexeant at the email address associated with your account. You may opt out of marketing communications at any time.
Service Availability: We strive to keep the Service operational but do not guarantee uninterrupted availability. We may suspend or terminate access at any time for violations of these Terms or for operational reasons
3. User Content and AI-Generated Content
User Content Ownership: You retain all ownership rights to the content, data, and materials you upload or provide to the Service (“User Content”).
License to Nexeant: By providing User Content, you grant Nexeant a worldwide, non-exclusive, royalty-free, revocable, sublicensable, and transferable license to use,
reproduce, distribute, prepare derivative works of, display, and perform User Content solely as needed to operate, maintain, improve, personalize, and support the Service, including processing User Content with AI models.
Clarification on Training:
Nexeant does not use your User Content for training generalized AI models.
Nexeant may offer optional, explicit opt-in private fine-tuning or workspace-level model adaptation features in the future. No model training of any kind will occur unless you provide advance written consent.
Your Responsibility for User Content: You are responsible for ensuring your User Content is accurate and lawful.
AI-Generated Content:
Content generated by the AI (“AI-Generated Content”) is based on User Content, prompts, and model behavior.
Ownership: To the extent permitted by law, you own rights in AI-Generated Content that is substantially based on your inputs and does not infringe third-party intellectual property.
Disclaimer on Accuracy:
AI-Generated Content may contain errors or non-original elements. You are responsible for reviewing and verifying accuracy, legality, and suitability before using it. Nexeant does not guarantee accuracy, originality, or quality.
4. Intellectual Property
The Service, including software, text, design, and all features, is owned by Nexeant. These Terms do not grant any rights to Nexeant’s intellectual property.
5. Fees and Payment
If applicable, you agree to pay all fees as shown on our pricing page. Third-party processors process payments. Fees are non-refundable except as required by applicable law. Subscriptions may renew automatically unless canceled.
6. Disclaimers
The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind.
Nexeant does not warrant that the Service will be uninterrupted, error-free, or secure.
7. Limitation of Liability
To the fullest extent permitted by law, Nexeant is not liable for indirect, incidental, special, consequential, or punitive damages.
Liability Cap:
Nexeant’s total liability under these Terms will not exceed the amount you paid for the Service in the twelve months before the claim.
8. Indemnification
You agree to indemnify Nexeant from claims arising from your use of the Service, User Content, or breach of these Terms.
9. Governing Law
The laws of the State of Texas govern these Terms.
